Expert Legal Counsel Location: Berlin A PE-backed software business at an exciting inflection point is looking for an Expert Legal Counsel to join their lean, high-performing Legal team. This is a senior individual contributor role where you will play a key part in a significant upcoming corporate transaction, drive M&A workstreams, and provide broad commercial legal support across the business. Key Responsibilities: Lead on a significant corporate transaction - assessing current documentation, identifying gaps, and managing due diligence workstreams. Collaborate closely with external counsel on M&A and corporate transactional matters. Lead on corporate governance and corporate housekeeping activities, ensuring all documentation is accurate and exit-ready. Support day-to-day commercial legal requests through an internal ticketing system, covering a broad range of legal matters. Work cross-jurisdictionally, applying strong knowledge of either English Common Law. Requirements: 6+ years of post-qualification experience with a strong Corporate / M&A background. Qualified in either England & Wales or Germany. Fluent in both German and English - essential. Proven transactional experience, ideally within a PE-backed or exit environment. Strong corporate governance expertise with the ability to manage housekeeping independently. Comfortable operating as a senior individual contributor within a small, agile team. Senior Legal Counsel - Digital Law Location: Frankfurt As a Senior Legal Counsel within the Global Commercial Law team, you will provide worldwide legal advice across commercial law, contract law, and digitalisation topics. You will serve as a key interface between legal and specialist departments including IT, IP, Cyber Security, Data Protection, and Purchasing. Key Responsibilities: Digital law advisory - IT law, cloud services, AI regulation, and digital platforms. Legal issues related to autonomous driving. Drafting and reviewing contracts with suppliers and customers (software licences, SaaS, IT projects, open source). Legal support for digitisation projects across the group. Generalist in-house legal advice on all group matters. Support for international projects and M&A activity in the digital space. Your Profile: Qualified lawyer (Volljurist) - German legal qualification essential. Extensive experience in a corporate legal department or international commercial law firm. Solid knowledge of IT law and digital law. Fluent in German and English, both written and spoken. Ability to communicate complex legal matters clearly and practically.
